Acceptance
By accessing platinumedgesolutions.com or any subdomain we operate (the “Site”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Site.
These Terms govern your use of the Site. Substantive engagement terms are governed by the separate Statement of Work (“SOW”) and Master Services Agreement (“MSA”) signed between PlatinumEdge Solutions, Inc. (“PlatinumEdge,” “we,” “us,” or “our”) and the contracting party. Where the SOW or MSA conflicts with these Terms in the context of an engagement, the SOW and MSA control.

Eligibility
You may use the Site if you are at least 16 years old. If you are accessing the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Use of the Site
We use the information we collect to:
- Use the Site to violate any law, regulation, or third-party right
- Attempt to gain unauthorized access to any account, system, or network we operate
- Probe, scan, or test the vulnerability of the Site without prior written authorization
- Interfere with or disrupt the operation of the Site, including by introducing malware or excessive traffic
- Scrape, crawl, or otherwise systematically extract content from the Site, except by well-behaved search-engine indexers that respect robots.txt
- Use the Site, or any of its contents, to train any machine-learning model, large-language model, or generative-AI system without our prior written consent
- Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent applicable law expressly prohibits that restriction
- Misrepresent your identity or affiliation when submitting forms or contacting us
- Use the Site to harass, threaten, or impersonate any person
We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms.
Submitting information
When you submit information through a contact form, email, or any other channel on the Site, you represent that the information is accurate to the best of your knowledge and that you are entitled to share it with us. You acknowledge that submitting information through the Site does not create an engagement, contract, or attorney-client equivalent relationship. An engagement exists only when both parties sign an SOW or MSA.

Intellectual property
Our content
All content on the Site that is not user-submitted, including text, graphics, logos, images, icons, animated GIFs and SVGs, code samples, case studies, and the structure and selection of the Site itself, is the property of PlatinumEdge Solutions, Inc. or our licensors. It is protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to view the Site in a browser for your personal or internal business evaluation purposes. We do not grant you any other rights in the content.
What this license does not allow
You may not copy, reproduce, republish, modify, distribute, public-display, or create derivative works from the Site content, except:
- Limited quotation for review, journalism, or scholarship, with appropriate attribution; or
- With our prior written permission

Your content
If you submit content to us through the Site (a message, attachment, application materials, etc.), you grant us a non-exclusive, worldwide, royalty-free license to use that content only for the purpose of responding to you, evaluating a potential engagement, or fulfilling the engagement we agree to. We do not claim ownership of your content. We do not use it for training machine-learning models.
If you submit feedback, suggestions, or ideas about the Site or our services, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose.
Code samples
Code samples published on the Site are illustrative and provided for evaluation purposes only. They are not licensed for production use. Engagement deliverables are licensed separately under the applicable SOW.
Newsletter and email communications
If you subscribe to the newsletter, you agree to receive periodic emails from us. You can unsubscribe at any time using the link in any newsletter email. Transactional emails responding to your inquiries are not subject to unsubscribe; you stop receiving them when our conversation ends.
Third-party links and services
The Site may link to or embed third-party services (LinkedIn, GitHub, partner sites). We are not responsible for the content, policies, or practices of those services. Your use of them is governed by their own terms.
Disclaimers
The Site is provided on an “as is” and “as available” basis. We make no warranty that the Site will be uninterrupted, error-free, or free from harmful components. We make no warranty as to the accuracy, completeness, or reliability of any content on the Site, including case studies, outcomes, or technical descriptions. Past outcomes for partners are not a guarantee of future results.

Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PLATINUMEDGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF YOUR USE OF THE SITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).
The limitations in this section do not apply to liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation). They also do not modify the liability provisions in any signed SOW or MSA covering an actual engagement; those provisions control for the work performed under those agreements.
Indemnification
You agree to defend, indemnify, and hold harmless PlatinumEdge and its directors, officers, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of:
- Your violation of these Terms
- Your violation of any law or third-party right in connection with your use of the Site; or
- Content you submit through the Site
Termination
We may terminate or suspend your access to the Site at any time, with or without cause and with or without notice. Sections Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Changes to the Site or these Terms through Contact survive termination.
Changes to the Site or these Terms
We may modify, suspend, or discontinue the Site, or any feature of it, at any time. We may also update these Terms. Updated Terms take effect on the date posted to the Site. Your continued use of the Site after that date constitutes acceptance. For material changes, we will give reasonable notice on the Site.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. The federal and state courts located in Kent County, Michigan have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to personal jurisdiction in those courts.
You and PlatinumEdge each waive any right to a jury trial in any such dispute, to the fullest extent permitted by law.
This section does not apply to disputes that arise out of an engagement governed by an SOW or MSA. Those disputes are governed by the dispute-resolution provisions of those agreements.
Export controls
You may not use or access the Site if you are located in, or are a national or resident of, a country or region subject to United States embargo, or if you are on any United States government list of sanctioned, restricted, or denied parties.
Severability and waiver
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision does not waive our right to enforce it later.
Entire agreement; no third-party beneficiaries
These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and PlatinumEdge regarding the Site. They are not intended to create any third-party-beneficiary rights.
